Welcome to FinanceIQ. These Terms of Service (“Terms”) govern your access to and use of the FinanceIQ web application, including any content, functionality, and services offered through the platform (collectively, the “Service”). By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service. You must be at least 18 years old and have the legal capacity to enter into binding agreements.

2. Description of Service

FinanceIQ is a financial data management and analysis tool that allows users to upload financial statements, track key performance indicators, model financial scenarios, and receive AI-generated analysis. The Service is designed to help users organize and visualize their financial data.

3. NOT FINANCIAL, LEGAL, TAX, OR INVESTMENT ADVICE

CRITICAL DISCLAIMER:

THE SERVICE, INCLUDING ALL AI-GENERATED CONTENT, KPI CALCULATIONS, PROJECTIONS, SCENARIO MODELS, EQUIPMENT ANALYSES, AND ANY OTHER OUTPUT PROVIDED THROUGH THE PLATFORM, DOES NOT CONSTITUTE FINANCIAL ADVICE, INVESTMENT ADVICE, TAX ADVICE, ACCOUNTING ADVICE, LEGAL ADVICE, OR ANY OTHER FORM OF PROFESSIONAL ADVICE.

FINANCEIQ IS NOT A REGISTERED INVESTMENT ADVISER, BROKER-DEALER, CERTIFIED PUBLIC ACCOUNTANT, TAX PREPARER, OR LICENSED FINANCIAL PLANNER. NO FIDUCIARY RELATIONSHIP IS CREATED BETWEEN FINANCEIQ AND ANY USER OF THE SERVICE.

ALL INFORMATION PROVIDED BY THE SERVICE IS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. YOU SHOULD CONSULT WITH QUALIFIED PROFESSIONAL ADVISORS (INCLUDING LICENSED ACCOUNTANTS, FINANCIAL ADVISORS, TAX PROFESSIONALS, AND ATTORNEYS) BEFORE MAKING ANY FINANCIAL DECISIONS.

4. AI-Generated Content Disclaimer

The Service uses artificial intelligence (AI) models, including third-party large language models, to generate analysis and responses. You acknowledge and agree that:

AI outputs may be inaccurate, incomplete, or misleading. AI models can produce errors, hallucinations, and incorrect calculations. You must independently verify all AI-generated content before relying on it.
AI is not a substitute for professional judgment. The AI feature (referred to as “AI CFO”) is a conversational tool, not a licensed professional. The name is a product feature name only and does not imply professional credentials or qualifications.
AI does not have access to your complete financial picture. The AI operates only on data you have uploaded to the platform and may lack context about your full financial situation, market conditions, regulatory requirements, or other material factors.
You bear sole responsibility for all decisions. Any decisions you make based on information from the Service, including AI outputs, are made at your own risk. FinanceIQ accepts no responsibility for the consequences of such decisions.
AI outputs should not be shared as professional advice. You may not represent AI-generated content from the Service as professional financial, legal, or accounting advice to third parties.

5. Calculations and Projections Disclaimer

The Service performs automated calculations including but not limited to: key performance indicators (KPIs), financial ratios, health scores, equipment analysis (NPV, IRR, TCO, payback period), scenario projections, variance analysis, and trend computations. You acknowledge that:

All calculations are based solely on data you provide and may be incorrect if input data is inaccurate, incomplete, or improperly categorized.
Projections and forecasts are hypothetical models based on user-defined assumptions and are not predictions of future performance.
Financial health scores and grades are proprietary scoring methodologies and do not represent industry standards or professional assessments.
The Service does not verify the accuracy of uploaded data and assumes no responsibility for errors in user-provided data.
Equipment analyses use simplified models and may not account for all costs, tax implications, depreciation rules, or market conditions.

6. User Accounts and Data

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate and complete information when creating your account and to keep this information current.

You retain ownership of all financial data you upload to the Service. By uploading data, you grant FinanceIQ a limited, non-exclusive license to process, store, and analyze your data solely for the purpose of providing the Service to you.

7. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of applicable laws
Attempt to gain unauthorized access to the Service or its systems
Upload malicious code, viruses, or harmful content
Redistribute, resell, or sublicense the Service or its outputs
Represent AI-generated outputs as professional advice to third parties
Use the Service to create competing products

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FINANCEIQ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, FINANCIAL LOSSES, INVESTMENT LOSSES, OR ANY OTHER DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF FINANCEIQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL FINANCEIQ'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE EXCEED THE AMOUNT YOU PAID TO FINANCEIQ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

YOU SPECIFICALLY ACKNOWLEDGE THAT FINANCEIQ SHALL NOT BE LIABLE FOR ANY FINANCIAL DECISIONS, INVESTMENTS, PURCHASES, OR OTHER ACTIONS YOU TAKE BASED ON INFORMATION, ANALYSIS, PROJECTIONS, OR AI-GENERATED CONTENT PROVIDED THROUGH THE SERVICE.

9. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. FINANCEIQ DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, NON-INFRINGEMENT, AND TITLE.

FINANCEIQ DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; (C) AI-GENERATED CONTENT WILL BE FREE OF ERRORS OR HALLUCINATIONS; OR (D) DEFECTS IN THE SERVICE WILL BE CORRECTED.

10. Indemnification

You agree to indemnify, defend, and hold harmless FinanceIQ and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) any decisions you make based on information from the Service; (d) your reliance on AI-generated content; or (e) any third-party claims arising from your use of the Service.

11. Assumption of Risk

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. YOU ASSUME ALL RISK AND RESPONSIBILITY FOR ANY FINANCIAL DECISIONS, INVESTMENTS, TRANSACTIONS, OR ACTIONS TAKEN IN RELIANCE ON INFORMATION, DATA, ANALYSIS, OR AI-GENERATED CONTENT PROVIDED BY THE SERVICE. FINANCEIQ EXPRESSLY DISCLAIMS ANY AND ALL RESPONSIBILITY FOR THE ACCURACY OR RELIABILITY OF SUCH INFORMATION.

12. Third-Party Services

The Service utilizes third-party services including Anthropic Claude for AI analysis, Supabase for data storage, and Vercel for hosting. FinanceIQ is not responsible for the acts or omissions of third-party service providers. Your use of the Service is also subject to the terms and policies of these providers.

13. Modifications to Service and Terms

FinanceIQ reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We may also update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Termination

FinanceIQ may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, conducted in the State of Texas. You agree to waive any right to a jury trial or to participate in a class action.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with the Privacy Policy and AI Disclaimer, constitute the entire agreement between you and FinanceIQ regarding the Service, superseding any prior agreements.
